NITEK Usage Policy Policy Regarding Use of NITEK Name, Logos, Product Images, and Related Materials NITEK is willing to allow its customers the use of the NITEK ® name and trademarks for the purpose of properly promoting sales of its products and to strengthen the relationship with its customers. This policy defines the legal terms under which NITEK is willing to allow such use of this property. Use of the NITEK name, Logos, product images, and related information (in print- and/or electronic-forms) (hereinafter "NITEK Property") is limited to NITEK-Authorized Dealers, Authorized Distributors, Authorized Systems Integrators, and Sales Representatives (hereinafter "Approved Reseller"). An "Authorized Dealer" is defined as a company that purchases a minimum of US $5,000 per year of NITEK products directly from NITEK or through one of its Authorized Distributors, and resells NITEK products to end-users. An "Authorized Distributor" is defined as a company that has a Distributor Agreement in effect directly with NITEK and stocks and resells NITEK products to Dealers. An "Authorized Systems Integrator" is defined as an Authorized Dealer with engineering capability that designs and installs integrated systems using NITEK products. Companies are specifically prohibited from using the terms "Authorized Dealer", "Authorized Distributor", or "Authorized Systems Integrator", unless they meet the specific qualifications described herein. NITEK grants the Approved Reseller permission to use the NITEK Property subject to the following conditions: (1) all advertising of Approved Reseller clearly indicates that it is advertising of the Approved Reseller, and is not advertising of NITEK; (2) Approved Reseller’s advertising does not imply or suggest an association between the Approved Reseller and NITEK other than that of buyer and seller; (3) Approved Reseller’s use of the NITEK Property is a positive representation of NITEK equipment and related services in a professional manner; (4) Approved Reseller's trade name is more predominant on Approved Reseller's advertising than NITEK trademarks; (5) the appropriate trademark notice (®) appears adjacent to all NITEK federally registered trademarks; (6) the Trademark Statement below appears in or at the end of all advertising wherein any NITEK trademarks are used; (7) no modifications of any NITEK Property are made; and (8) only NITEK MSRP (List) product pricing may be used for direct marketing or E-commerce promotion activities. Use for any other purpose is expressly prohibited, and may result in severe civil and criminal liabilities. The use of NITEK Property is authorized ONLY for promotion and sale of NITEK products. Use of NITEK Property DOES NOT imply any business association with NITEK, other than that of buyer and seller. NITEK reserves the right to review Approved Reseller's advertising and may: (1) specify and require changes to the advertising as a condition of use; or (2) refuse or revoke permission to use NITEK Property by the Approved Reseller. NITEK trademarks are to be used in association with NITEK products according to the terms and conditions stated above. When NITEK trademarks are used for the purpose of demonstrating an association between another company and NITEK, permission is granted for their use provided that: (1) Approved Reseller is qualified as either an Authorized Dealer, Authorized Distributor, or Authorized Systems Integrator as defined above; (2) the applicable legend, "Authorized NITEK Dealer, "Authorized NITEK Distributor", or "Authorized NITEK Systems Integrator" appears below the Approved Reseller's trade name; and (3) NITEK has not specifically denied permission to the Approved Reseller. NITEK trademarks may not be used in any way that gives the impression that the Approved Reseller is part of NITEK, or is the EXCLUSIVE Agent, Dealer, or Distributor for NITEK. Permission to use NITEK Property for any other purpose is not granted, and must be specifically obtained in writing from the NITEK Marketing Department. NITEK reserves the right to deny or revoke permission to use any of the NITEK Property for any reason at any time. Trademarks Trademark Statement "[the appropriate NITEK trademark(s)] is a (are) trademark(s) of NITEK – Rolling Meadows , IL , and may be registered in certain jurisdictions." Questions regarding use of NITEK Property should be directed to the NITEK Marketing Department.
